These Terms of Service (the “Terms”) govern your use of the StackSounder website (the “Website”), operated by StackSounder (“StackSounder,” “we,” “us”). By using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. What the Website is

The Website offers a free cost-and-margin simulator and a form to request a free scoping call. The simulator models inference cost and margin scenarios from values you enter and our reference data.

The figures the simulator produces are illustrative estimates. They are not financial, accounting, tax, or investment advice, and they are not a guarantee of your actual costs, margins, or results. The Website is early and may change, break, or be removed without notice.

2. Free to use; paid engagements are separate

The simulator and the scoping call are free. If, after a scoping call, you and StackSounder agree to a paid engagement (for example, a cost, margin, and pricing audit), that engagement is governed by a separate written agreement between you and StackSounder, entered into at that time.

These Terms cover the Website only. They do not create any paid engagement, any obligation to purchase, or any professional-services relationship. Nothing on the Website is an offer capable of acceptance to form a paid contract.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Website. By using the Website, you represent that you meet these requirements.

4. Acceptable use

You agree not to:

• Use the Website in violation of any applicable law or third-party right.
• Submit another person’s personal information in the scoping-call form without their authorization.
• Probe, scan, or test the vulnerability of the Website, or circumvent any security, rate-limit, or access-control mechanism.
• Scrape, overload, or otherwise interfere with the normal operation of the Website.
• Reverse-engineer the simulator or use it to build a competing product.

5. Intellectual property

The Website, the simulator, and the models and reference data behind it are owned by StackSounder. We grant you a limited, revocable, non-exclusive right to use the Website to evaluate whether to engage us. All other rights are reserved.

6. Disclaimers

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that any simulator output is accurate or applicable to your business, or that the Website will be uninterrupted or error-free. Simulator outputs are illustrative estimates based on the values you enter; treat them as a way to explore scenarios, not as a basis for a business decision on their own.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STACKSOUNDER OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

8. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above. Continued use of the Website after the effective date of an update constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. You and StackSounder agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Website.
